Biography: Mergers and Acquisitions

For over a decade Maxim Telemtayev has acted as lead lawyer on M&A transactions of major local and international companies from various sectors of the economy. Examples of such transactions include: advising a major European natural resources company on the establishment of the joint venture with a national oil and gas company for the development of the major offshore gas field in the Caspian Sea with value over US$1 billion; acting for RWE Dea AG (RWE), Erdgas Erdol GmbH (EEG) and International Finance Corporation (IFC) in the sale of its equity interest in the major local oil producer with the transaction value of US$1 billion; advising Barrick Gold Corporation on an acquisition of various gold deposits in Kazakhstan; and advising a major Western uranium company on acquisition of various uranium exploration and production properties in Kazakhstan. This acquisition is regarded to date as the largest private uranium acquisition in the world.

Maxim is recommended by Chambers 2007 and 2008 editions for his 'depth of experience and knowledge' in the corporate and commercial areas.

He manages Macleod Dixon's practice in Kazakhstan and other Central Asian countries from the prime location of Almaty, in Kazakhstan.

Biography: Insolvency & Restructuring

Maxim supervises and manages the firm's practice in the Republic of Kazakhstan and in other Central Asian countries from the Almaty office. For over a decade, Maxim Telemtayev has represented major local and international companies from sectors of the economy including energy, mining, banking and the power generation industry.

He is retained by clients in some of the largest and most challenging public and private acquisitions, reorganisations and consolidations in Central Asia. From advising on the due diligence of assets to be acquired, counselling on the financing aspects of an acquisition, to assisting with public offerings and listings on capital markets around the world, Maxim has in depth experience of every aspect of a M&A transaction. Most recent examples of his practice include the legal counsel he provided for the debt restructuring and subsequent acquisition of Kazakhstan's largest bank, for assisting with the equity acquisition in a major gas deposit located in the Caspian Sea valued at around US$2 billion, as well as an equity acquisition of a major power plant in Kazakhstan and advising on substantial EPC and PPP projects in the oil and gas and infrastructure areas.

Additional significant transactions include providing specialised and sector specific advice to a number of western resource and precious metals companies in multi million dollar acquisitions and dispositions of gold and uranium properties in Kazakhstan.

As another example of the breadth of his legal practice, Maxim has recently acted as local counsel in two major international arbitrations with regard to investment disputes involving European and Turkish oil companies.

In addition to practising commercial law, being part of the legal working group under the Foreign Investors' Council under the auspices of the president of Kazakhstan, Maxim is active in an advisory role to the government in developing foreign investment legislation. As a member of the Kazakhstan Petroleum Association, he has reviewed and contributed commentary to a number of laws and regulations related to subsoil use, including the most recent Tax Code. Engaged by the Ministry of Transport and Communications of Kazakhstan, Maxim has been actively involved in improving legislation with respect to concessions and Private Public Partnership projects.

Mr Telemtayev has more than 13 years' experience of legal practice in the mining, oil and gas, real estate and banking and finance industries. He has worked on some of the largest and ground breaking mining projects in Central Asia, particularly with respect to gold and uranium bearing assets.

He assists with corporate, commercial, regulatory and financial issues facing domestic and international mining companies and financial institutions on cross border transactions involving mergers and acquisitions, listings, joint ventures, project financing, investments and restructuring of mining projects.

Maxim is a frequent speaker at conferences both at home and abroad on mining industry specific subjects, and regularly gives instructional lectures to students at his former law school - Adilet. He has authored several articles on the legal framework and on foreign investor operations in the natural resource sector.

Mr Telemtayev obtained his law degree from Adilet High School of Law, Almaty, Kazakhstan.
