Biography: Banking

Hans Goebel is a partner at Nader, Hayaux y Goebel, S.C. Mr. Goebel's main areas of practice are banking & finance, project, structured and consumer finance, capital markets, mergers & acquisitions, and private equity.

Mr. Goebel advised Bulltick Casa de Bolsa, S.A. de C.V. as placement agent in the initial public offering (IPO) in the Mexican Securities Exchange of Proteak Uno, S.A.P.I.B. de C.V. for the amount of MxP$790 million pesos). Proteak is the first entity charted under the SAPIB legal regime and the first green company to issue stock in the Mexican Securities Exchange, marking the third IPO in Mexico since the global financial crisis. He advised Navix de México, S.A. de C.V. SOFOM, E.N.R. ('Navix') in the structuring and issuance of CKDs placed in the Mexican Securities Exchange on December 13, 2010 for a total offer amount of $4,002 million Pesos. The offer amount will be used to co-fund with Navix future structured finance loans granted to contractors and sub-contractors of the energy sector in Mexico, mainly Petróleos Mexicanos and the Comisión Federal de Electricidad. He also advised Deutsche Bank AG, London Branch, as noteholder agent, in the issuance by a special purpose vehicle of its Classes A and B Asset-Backed Variable Funding for an aggregate amount of $1.05 Billion Mexican Pesos, backed by construction loans of Metrofinanciera, S.A. de C.F., SOFOM, E.N.R., which Notes were offered in the United States of America pursuant to Section 4(2) of the Securities Act of 1933.

Biography: Mergers and Acquisitions

Hans Goebel is a partner at Nader, Hayaux y Goebel, S.C. Mr. Goebel's main areas of practice are banking & finance, project, structured and consumer finance, capital markets, mergers & acquisitions, and private equity.

Mr. Goebel advised Caja de Ahorros del Mediterráneo and G.I. Cartera in the acquisition of 100% of the outstanding stock issued by Crédito Inmobiliario, S.A. de C.V., SOFOM, E.N.R. in a transaction valued in $2,700 million Pesos. He advised Coöperatieve Apollo Global Netherlands U.A. in its investment in Apollo Global México, S. de R.L de C.V., which used the investment proceeds to acquire 100% of the equity quotas of Universidad Latinoamericana, S.C. The transaction also included the acquisition of Centro Universitario Indoamericano, S.C., a fully owned subsidiary of Universidad Latinoamericana, S.C. He also advised Axis Group in the negotiation and execution of a shareholders' agreement with two funds and a large US financial entity with respect to their indirect interests in Navix de Mexico, S.A. de C.V., SOFOM, E.N.R., a company engaged in structured financing.

Biography: Project Finance

Hans Goebel is a partner at Nader, Hayaux y Goebel, SC. His main areas of practice are banking and finance, project, structured and consumer finance, capital markets, mergers and acquisitions, and private equity.

Mr Goebel advised The Export Import Bank of the United States in the US$97 million financing for the 292 MW 'Naco Nogales' power generation plant project in the State of Sonora. He also advised the Export Import Bank of the United States and the Interamerican Development Bank in the US$325 million financing of the 495 MW 'Bajío' power generation plant project in the State of Guanajuato, for a total investment of US$525 Million. Mr Goebel has also advised Navix de México, SA de CV SOFOM, ENR in a number of project finance loans to contractors and sub-contractors of Petróleos Mexicanos.
