Biography: Mining

Darryl consults with domestic and foreign companies on natural resource transactions involving North American, Southern African and Asian companies.

While his practice is regularly involved in the development of mineral resource projects throughout the world, Darryl also provides corporations with his wide-ranging expertise related to corporate and business matters with broad involvement in financings and takeovers by issuers. He specialises in representing corporations and investment banks on corporate finance transactions, securities and mergers and acquisitions. He has extensive international corporate finance experience involving stock exchange listings on the London Stock Exchange (AIM), Australian Stock Exchange and Toronto Stock Exchanges. In addition to this, Darryl also advises resource issuers regarding joint ventures and commercial mining agreements including product supply and offtake agreements.

Qualified to practise law in South Africa and Ontario, Darryl's considerable experience has involved regularly advising on a number of large matters. Some of his most recent work has included being a member of the team acting for Petro-Canada in its merger with Suncor Energy. Valued at approximately C$55 billion, this merger represented one of the largest mergers in Canadian history. In the area of finance transactions, Darryl brings a similar level of skill having acted for an issuer on one of the largest mining IPOs in recent years where approximately C$233 million was raised by the issuer on the Toronto Stock Exchange (TSX). He has also conducted due diligence on behalf of a banking syndicate prior to one of the largest independent platinum companies in South Africa going public and he represented a company that owns one of the world's largest niobium and rare earths resources on financings and other corporate matters.

Recently he represented a Chinese conglomerate involved in the purchase of iron ore in Africa. Similar expertise has been developed through work on agreements between companies in the United Kingdom, China, Canada and South Africa. Darryl also sits on the boards of a number of listed resource companies.

When not advising on mineral resource projects and related corporate and business matters, Darryl is a regular speaker on corporate finance matters. His experience in these areas has included moderating seminars focused on structuring investments in the African resources sector, mergers and acquisitions, as well as presenting on issues related to due diligence in mining transactions. Darryl is also a regular contributor to Business Day Radio in South Africa and is often interviewed by Reuters News Service and Bloombergs on developments in the sector.
