Biography: Private funds

Ms Topping, a partner in White & Cases's capital markets practice, concentrates on the formation and organisation of domestic and international private equity investment funds, venture capital funds and hedge funds.

Ms Topping has extensive experience in the formation, structuring and issuance of securities by private fund vehicles. She has represented investment managers and sponsors as well as investors, including institutional investors, endowments, high net-worth individuals, banks and development financial institutions. She has experience with the formation and organisation of joint ventures, investment companies, private equity funds, real estate funds/reits, hedge funds, funds of funds and asset management companies, both restricted and open-ended. She also advises on internal investment advisor 'house' arrangements including compensation, employment and regulatory compliance.

Ms Topping also has extensive experience structuring funds that include one or more debt tranches including debt financing from the US Overseas Private Investment Corporation, the Inter-American Development Bank, other development financial institutions and private commercial banks.

Recent private equity vehicles Ms Topping has formed include vehicles targeting investments in developed as well as emerging markets including Africa, the Middle East, East Asia, South Asia (India and Pakistan) and Latin America, as well as vehicles with a global or sector-specific focus targeting SMEs; distressed assets; infrastructure, telecommunications, financial institutions, sustainable technologies, growth capital and expansions, re-organisations (including privatisations), buy-outs, real estate and combined financial and social/developmental returns.

Ms Topping received her JD from the Georgetown University Law Center, her PhD from the University of Chicago and her BA from Cornell University.

Ms Topping is the recipient of two Fulbright Scholarships.
