Biography: Real Estate

Vanessa Franyutti Johnstone specialises in real estate finance and investment, projects and project finance, structured finance, financing of public entities and M&A.

She has particularly strong experience in financing and investments in the hospitality sector as part of a wide real estate practice that also covers the retail, residential and industrial markets. Her hospitality work includes advising on investments in hotels, mega-developments, fractional and time-share regimes as well as their related financing.

Vanessa's projects practice focuses on project finance and public-private partnerships including the Mexican PPS model, energy and infrastructure projects. She was instrumental in implementing the PPS scheme in Mexico, advising both the national government and the government of the state of Mexico on the structuring, bidding and implementation of the first PPS projects. She has since continued to be involved in major PPS projects including hospitals, roads, water treatment plants and prisons.

Her international experience is great and she speaks fluent English. She regularly advises multinational clients, particularly major hotel, tourism and leisure groups, on real estate investments and development in Mexico as well as in forming bidding consortiums and other aspects of infrastructure and energy projects in Mexico. She also advises financial institutions participating in tourism, energy and infrastructure.

She has a number of work highlights to date. She has advised LCA Capital in its acquisition of a minority interest in the Puerto los Cabos private urban-tourist project and on the acquisition of Morgan Stanley's participation in Grupo Atlas Vivienda, a group dedicated to the construction and commercialization of housing developments active across several cities in Mexico. She has provided counsel to the owners of the Mexico St. Regis Hotel in the financing and certain development and construction matters related with the project. She assisted Danske Bank in its loan acquisition for the development of Diamante Cabo San Lucas golf and villas resort. Advised the Cultural Institute of the State of Mexico on the awarding of a PPS project for development and operation of a Cultural Center with an approximate value of 300 million dollars. She advised the Health Ministry of the State of Mexico in the awarding of a PPS project for development and operation of a Specialty Hospital with an approximate value of 600 million dollars. She worked with a member of a consortium on the bid for the construction and operation of a tramway service in Mexico City. She assisted GE Energy Financial Services in its negotiations with Abengoa in order to create a joint venture vehicle for the development of a 300 mega watt cogeneration power plant and compliance with a 20-year services contract for the supply of power and steam to the Nuevo Pemex complex and other PEMEX facilities. She worked with the Agence Française de Développement in its 30 million Euro loan to the United Mexican States. She also provided counsel to a Mexican construction and development firm in the negotiation, structuring and financial close of a long term facilities management and construction project for the federal government.

Vanessa obtained her LLM from the University of Chicago Law School, having graduated as an attorney from the Instituto Tecnológico Autónomo de México with honours.
