Biography: Insolvency & Restructuring

Maxim Telemtayev manages White & Case's practice in Kazakhstan. He has an impressive track record of handling public and private company takeovers, major corporate mergers and divestitures, debt and equity transactions, recapitalizations, consolidations, reverse takeovers, domestic and international equity offerings, auction bids and tenders. As part of his legal practice in this sphere, he has conducted due diligences of assets whereby he has evaluated risks and called on to provide full legal support of the acquisition transaction, often involving assets of insolvent companies. With such strong experience, Maxim provides clients with a balanced assessment and deep understanding of the issues encountered in restructuring and insolvency.

Maxim regularly counsels banking groups, financial and strategic investors with insolvency and restructuring matters. He has been retained in the debt restructuring and subsequent acquisition of Kazakhstan's largest bank which involved undertaking a complex legal due diligence of Kazakhstan's banking system and advising on specific banking transactions including settlement with creditors, potential claims and bank restructuring issues.

He also assists with restructuring of investments in the natural resource sector which has included advising the largest gold producer in Kazakhstan with respect to the internal restructuring and preparation for an IPO. Maxim regularly counsels clients on procedures and performance of obligations restructuring in compliance with local legislation, sales of shares in companies and assists with complex reorganizations and consolidations with a particular focus on public offerings and listings of gold and uranium properties on the London and Toronto stock exchanges.

Biography: Oil and Gas

Maxim Telemtayev is the managing partner of White & Case Kazakhstan office and has a broad oil and gas practice advising exploration, production, as well as oil and gas service companies on corporate matters, regulatory compliance under subsoil use agreements, mergers and acquisitions, listings, joint ventures, project financing, investments, litigation and tax issues. Maxim joined White & Case Kazakhstan at the beginning of 2011 from Macleod Dixon where he was managing partner. Over the last 15 years, he provided numerous valuations and title opinions for oil and gas companies and represented energy clients in domestic and international public and private financings and acquisitions. Recent equity acquisitions for which he has been responsible include a major gas deposit located in the Caspian Sea valued at around US$2 billion and a large power plant in Kazakhstan. In addition, Maxim has advised on substantial engineering-procurement-construction and public-private-partnership projects in the oil and gas and infrastructure areas. Regarding investment disputes in the energy sphere, he has acted as local counsel in two major international arbitrations involving European and Turkish oil companies.

Maxim's energy industry advice and insight is regularly sought not only by private business but also by government. In his role as vice president of the Kazakhstan Petroleum Association, he has reviewed and contributed commentary to a number of laws and regulations related to subsoil use. As a member of the Legal Working Group of the Foreign Investors' Council under the auspices of the President of Kazakhstan, Maxim is active in an advisory role to the government in developing foreign investment legislation.

With many years' experience, Maxim is a leading commentator on the energy sector providing articles for publications and speaking at industry specific conferences. He has authored articles on the legal framework and on foreign investor operations in the natural resource sector.

Biography: Mining

Maxim Telemtayev is the managing partner of of White & Case Kazakhstan. He supervises the firm's practice in the Republic of Kazakhstan and other central Asian countries. Maxim joined White & Case Kazakhstan at the beginning of 2011 from Macleod Dixon where he was managing partner for over a decade.

Mr. Telemtayev has more than 15 years' experience of legal practice in the mining and natural resource sectors. He has worked on some of the largest, as well as ground breaking mining projects in Central Asia. He assists with corporate, commercial, regulatory and financial issues facing domestic and international mining companies. He advises financial institutions on cross border transactions in the natural resource sector involving mergers and acquisitions, listings, joint ventures, project financing, investments and restructuring of mining projects.

Significant transactions of Maxim's include providing specialized and sector specific advice to a number of western resource and precious metals companies in multi-million dollar acquisitions and dispositions of gold and uranium properties in Kazakhstan.

In addition to practicing commercial law, being part of the legal working group under the Foreign Investors' Council under the auspices of the President of Kazakhstan, Maxim is active in an advisory role to the government in developing foreign investment legislation. As vice president of the Kazakhstan Petroleum Association, he has reviewed and contributed commentary to a number of laws and regulations related to subsoil use.

From advising on the due diligence of assets to be acquired, counseling on the financing aspects of an acquisition, to assisting with public offerings and listings on capital markets around the world, Maxim has in depth experience of every aspect of a M&A transaction. He has a long and established track record acting for corporations in litigation and arbitration cases arising from investment and commercial activity at national and cross border levels. His litigation practice covers a broad spectrum of industries including energy and natural resources, real estate, insurance, banking and construction.

Maxim represents claimants and defendants at all court levels. In addition to his significant knowledge of dispute and litigation procedures of Kazakhstan, Maxim is frequently retained by foreign companies to represent them in increasingly sophisticated commercial litigation cases heard by international courts and arbitration forums. As a skilled litigator, he has successfully acted in commercial disputes and arbitrations arising from debt recovery and contractual compliance and handled litigious issues in the areas of financing, acquisitions and securities.
