Mr Kaplan's recent transactions include IPOs for Delphi Automotive, Molycorp Minerals, Mediamind, Artio Global, Globe Specialty Metals, Emdeon, Cellcom, Dice Holdings, Duff & Phelps and Wesco Aircraft; and high-yield debt offerings for Spectrum Brands, Harbinger Capital, Hexion, Severstal Columbus, Michael Foods, Seagate, Hovnanian, Western Refining, Digicel Group and NXP BV. He is the primary capital markets partner for ExxonMobil, Ford, HJ Heinz, Syngenta AG, Delphi Automotive and Warner Chilcott Plc, among others.
Mr Kaplan has represented major investment banks, including Banc of America, Credit Suisse, Goldman Sachs, JP Morgan and Morgan Stanley, as underwriter's counsel.
Mr Kaplan has advised: the Federal Reserve Bank of New York in connection with the equity infusion made by the United States Treasury into American financial institutions under the Capital Purchase Program and the Term Asset Loan Facility (TALF) concerning the Emergency Economic Stabilization Act of 2008; Ford Motor Company in connection with its $10 billion debt restructuring, $1.6 billion equity offering, $3.5 billion convertible notes offering and pending induced conversion offer; and Citigroup on its joint venture with Morgan Stanley and its proposed $56 billion rescue of Wachovia in the first FDIC-assisted 'open bank' transaction in nearly 20 years.
Mr Kaplan is listed as a leading capital markets lawyer in several legal industry publications, including: Chambers Global: The World's Leading Lawyers for Business; Chambers USA: America's Leading Lawyers for Business; Legalease's The Legal 500 (United States); Law Business Research's Who's Who Legal-International Who's Who of Capital Markets Lawyers and Who's Who Legal-International Who's Who of Business Lawyers.
Mr Kaplan is a frequent speaker on securities law-related and general corporate matters, including corporate governance, SEC and Sarbanes-Oxley matters. He presented at the Securities Industry and Financial Markets Association, the LSTA, the City Bar Association and Corporatecounsel.net. He is a member of the working group on legal opinions of the American Bar Association.
Mr Kaplan received his AB (summa cum laude) from Harvard College in 1992 and his JD (magna cum laude) from Harvard Law School in 1995. He was made partner in 2003 and is admitted to the State of New York.
