Biography: Insolvency & Restructuring

Yana Zoloeva is the legal practice leader of PricewaterhouseCoopers Legal CIS BV, with offices in Moscow, St Petersburg and Yuzhno-Sakhalinsk in Russia.

Yana advises on civil, corporate, insolvency, commercial and competition law. She has extensive experience in advising on transactions involving the acquisition of companies and the establishment of joint ventures, corporate governance, restructuring (domestic and cross-border), security issuance, competition, effective remuneration and incentive solutions for employers including stock option plans.

Yana has Master's degree in law and economics as well as a PhD in law. She has over 15 years of experience in consulting and leads the Russian firm's Energy and Corporate practice. Yana is a recognised lawyer for energy, utilities and mining companies. In 2007 and 2008, she was recommended as energy and natural resources and employment law expert by the Legal 500. Yana is regularly invited as an expert to conduct seminars in her area of expertise and to speak at conferences in and outside Russia.

Yana's clients include Gazprom and its subsidiaries, Rosatom, Lukoil, Transneft, Transnefteproduct, Sibur, TNK-BP, Eurasia, Shell, Sakhalin Energy Investment Company, Statoil, OMV, among many others. Some of Yana's projects include the representation of a well-known mining company in the US$25 million acquisition of gold mines; assistance to a UK company with Russian assets in relation to its £11 million pre-IPO financing with due diligence, restructuring and corporate matters; advice to a Bulgarian Aviation Group on a JV with Tatarstan government to reconstruct Kazan airport and run joint operation of Tatarstan Airlines; assisting the administration of Samara region in the construction of the multi-modal transport and logistics centre; and developing a stock option plan for one of the biggest Russian non-public banks, including providing advice on possible plan types for different groups of participants from the senior management.
