Biography: Public Procurement

Darryl Brown is a partner in the environmental, real estate and urban development group, working out of Gowlings' Toronto office. His practice is concentrated in infrastructure, construction law and real estate, with expertise in the drafting and negotiation of project agreements, construction contracts and facility management contracts; the preparation of tender and bid materials; the acquisition and sale of commercial properties; and the development of commercial real estate, as well as real estate financing and leasing. He acts for a number of owners, developers, equity providers, contractors, subcontractors, financial institutions, commercial lessors and lessees, real estate developers, property managers and pension funds. Darryl is also a vice-chair of Gowlings' national energy and infrastructure industry group.

Darryl's infrastructure and construction law experience includes drafting and negotiating, project management, construction management, design-build/finance, design-build/finance/operate, fixed price, cost plus and professional service contracts, as well as the preparation of precedent construction contracts/supplementary conditions and RFPs and RFQs, on behalf of clients such as Infrastructure Ontario, Johnson Controls, Forum Infrastructure, Bird Construction, Toronto Port Authority, North American Construction, BLJC, Compass Canada, Bruce Power, Hamilton Renewable Power and Imara (the development arm of The Aga Khan Foundation).

Darryl's recent experience includes: acting as lead counsel to the successful consortium for the South West Detention Centre P3 Project; acting on behalf of the Toronto Port Authority in respect of a tunnel to the Toronto Island Airport; acting on behalf of a member of the successful consortium for the Abbotsford Hospital and Cancer Centre, North Bay Hospital, Durham Courthouse, Orleans Art Centre, Niagara Hospital, Ontario Data Centre, Bridgepoint Hospital, Toronto South Detention Centre, Thunder Bay Courthouse, McGill Hospital and Long Beach California Courthouse P3 Projects; reviewing and negotiating the project, subcontract and interface agreements, on behalf of a consortium member, in respect of Royal Jubilee Hospital, Kelowna Hospital, Surrey Hospital, Sault Area Hospital, Woodstock Hospital, Montreal Symphony, Moncton Courthouse, Moncton Schools, Saint John Courthouse, Alberta Schools (Phase 1), CAMH, Waterloo Courthouse P3 Projects, OPP Modernization and Alberta Schools Phase II P3 Projects; reviewing and negotiating the design-build agreement for a digester gas co-generation project for the City of Hamilton; and drafting the construction and professional services contracts for a museum and cultural centre.

Darryl is an active member of the Gowlings nuclear practice group, particularly in connection with the large refurbishment and restart project for North America's largest nuclear installation where he drafted and negotiated the definitive agreement and associated construction contracts relating to the restart project for two laid-up nuclear reactors at the Bruce Power Nuclear Generating Facility. In addition, Darryl advised Infrastructure Ontario and the Province of Ontario, as part of a multi-firm legal team, in structuring and implementing Ontario's procurement process to select the vendor and nuclear technology for Ontario's new-build nuclear project.
