Recent matters include representing: M&T in its acquisition of Wilmington Trust Corporation; Warburg Pincus in its investments in Primerica and National Penn Bancshares; Carlyle in its investment in Central Pacific; NBH Holdings in its acquisitions of Bank Midwest and Hillcrest Bank; North American Financial Holdings, Incorporated in its acquisitions of TIB Financial, Capital Bank Corporation and Green Bankshares; Community Bancorp LLC in its acquisitions of Cadence Financial Corporation and Superior Bank; Wells Fargo & Co in its acquisition of Wachovia; Morgan Stanley, GMAC Inc and CIT Group, Inc in their conversions to bank holding companies; the PNC Financial Services Group, Inc in its acquisition of National City Corporation; Bank of America Corporation in its acquisition of Merrill Lynch; the United States Department of Treasury in its conservatorship of Fannie Mae and Freddie Mac; JPMorgan Chase & Co in its acquisition of Bear Stearns; and a number of banks in enforcement and related matters.
Richard is a graduate of Stanford University (BA, 1983) and Columbia Law School (JD, 1986). He is a member of the Association of the Bar of the City of New York and the American Bar Association where he previously served as chair of the mergers and acquisitions subcommittee of the banking law committee. He is also a member of the board of directors of the Asian American Legal Defense & Education Fund, the board of trustees of the Rye Country Day School and a former trustee of the Stanwich School.
