Biography: Franchise

Ramiro Rangel is a graduate of the Escuela Libre de Derecho and was admitted to practice in 1996. From 1996 to 1999 he obtained postgraduate degrees on US and Mexico law programmes. Mr Rangel has been a partner of Forastieri Abogados, SC since 2004, and is the head of the franchise and distribution practice area of the firm. Mr Rangel has substantial experience in advising local and international franchisors and franchisees. Mr Rangel assists clients in various trades and industries, including restaurant, health and beauty, decorative products, automotive, hospitality, and other retail businesses, with respect to, among others: developing franchise, direct selling, dealership, and distribution systems; advising on compliance with applicable statutes; counselling on all aspects of corporate issues; preparing license, franchise, dealership and distribution agreements; drafting master franchise, sub franchise, development, and other agreements; preparing franchise disclosure statements; counselling on product labelling issues; drafting disclaimers and terms of use of internet sites; assisting with all aspects of real property sales, leases, site development issues and financing; and assisting with mergers and acquisitions of franchisors or franchisees, or both.

In addition, Mr Rangel has substantial intellectual property experience that enables him and his team to provide franchisors, distributors and licensors with comprehensive IP representation, including IP protection strategies.

Mr Rangel has participated as co-author in publications by the American Bar Association, forum on franchising.
