Biography: Corporate Governance

Ronald Mueller is a partner in Gibson Dunn's securities regulation and corporate governance practice group.

His practice focuses on assisting public companies on securities disclosure and corporate governance matters. Mr Mueller advises a large number of public companies on their SEC disclosure filings, including proxy disclosure obligations, earnings releases, Form 8-K disclosures and periodic reporting. As well, he advises companies and boards of directors on corporate governance matters, including advising on board committee and governance structures, succession planning, addressing governance concerns raised by investors, responding to corporate crises and planning for and responding to control contests. He worked closely with Intel Corporation in developing a majority voting policy that is now widely used by US public companies. Mr Mueller is also a leading expert on executive and equity compensation design and disclosure issues. Among his clients are Intel Corporation, Amazon.com, General Electric Company, Cardinal Health, Marriott International and Union Pacific Corporation. Mr Mueller has represented companies and dissidents in a variety of proxy contest matters.

Mr Mueller is the immediate past chair of the employee benefits and executive compensation subcommittee of the American Bar Association's committee on the federal regulation of securities and chaired drafting committees that commented on a number of the SEC's executive compensation disclosure amendments. Mr Mueller worked at the Securities and Exchange Commission as counsel to Commissioner Edward H Fleischman. He is a frequent author and speaker on executive compensation, securities disclosure and corporate governance matters. Mr Mueller received his JD from Columbia Law School in 1986, where he was both a Harlan Fisk Stone Scholar and a James Kent Scholar.
