Biography: Banking

Noyan Turunç is a partner based in the Istanbul office of Turunç, a full-service Turkish law firm with offices in Istanbul, Izmir and Ankara, and is the firm's founding partner. Mr Turunç has been acting for decades as legal counsel for numerous multinational financial institutions, banks, companies and rating agencies regarding their interests and banking and finance activities in Turkey. He advises on compliance with Turkish banking legislation, including corporate governance matters, credit facilities, securitisations, guarantees, public and private debt, assignments, ancillary rights, guarantee letters, letters of credit, liens, promissory notes, optional rights, interest in arrears, unpaid dividends, promises to guarantee, opening of concentration accounts, status of assets of bankrupt banks, foreign exchange issues, bank privacy, tax issues, and other related matters.

Some of Mr Turunç's recent experience includes advice on US Export Import bank and other export credit agency term facilities to Turkish companies as well as to the Turkish Treasury and various municipalities under Treasury guarantee in connection with hydroelectric power projects, loan facilities, motorway financings, environmental protection and infrastructure projects, and US dollar remittance securitisations, as well as acting as an expert witness for a Chinese bank in a London litigation and representing a UK bank in a collection proceeding. Mr Turunç also has vast experience in bank insolvencies and has been representing over 20 foreign banks in the bankruptcy proceedings of three Turkish banks. Mr Turunç has also been advising industrial and commercial companies in their relationships with financial institutions and banks on all their financing and banking requirements. Mr Turunç regularly attends international financial law conferences and Islamic finance conferences.

Before founding Turunç, Mr Turunç was general counsel at Boeing Services Inc (Turkey) and The Coca-Cola Export Corporation (Turkey).

Mr Turunç received his LLB and his LLM (in competition law) from Ankara University. He is a member of the Bar in Izmir, the American Bar Association and the International Bar Association.

Biography: Management Labour and Employment

Mr Turunç started his legal practice 30 years ago as an in-house lawyer for Boeing Services Inc, which was then acting as the go-between contractor for the US Air Force based in Turkey and employing approximately 5,000 workers. Besides other labour-related work, he participated in collective labour negotiations against the toughest union. He advises on all aspects of labour and employment law, including advice on employment; executive remuneration, related regulatory and disclosure obligations; service contracts; transfer of employees, assessment of liability by acquirer and liability of severance payment, negotiating and drafting of transfer agreement, notifications, determination of rights and entitlements, preparation for fire and hire process; confidentiality and restrictive covenants, and contracting out of services. He is the co-author of the Turkish chapter of International Labor and Employment Laws published by BNA and updated annually; and also the co-author of the Turkish Labor Law.

For more than a decade, Mr Turunç has been advising domestic and multinational clients on banking and finance, including government backed loans, project finance, asset backed finance, securitisation and financial leasing; and on competition law, in which he holds an LLM degree, including mergers, acquisitions and joint ventures. He has contributed to The International Lawyer, ABA (financial services section), since 2003, and is the author of numerous newsletters on competition law.

He is the author of The Law and Practice of Mergers and Acquisitions in Turkey, and co-author of the Turkish chapters of the International Encyclopedia of Agency and Distribution Agreements and Remedies under Security Interests, both published by Kluwer.
