Biography: Banking

Mr Ukpanah is a partner at the Lagos offices of Udo Udoma and Belo- Osagie. His practice encompasses corporate, project finance and banking law with a special focus on non-recourse financings, debt structuring, securitisation, and capital markets. He works extensively in the fields of syndicated loans, and mergers and acquisitions.

Major transactions handled by Mr Ukpanah include the medium term syndicated notes issuance facility of up to $285,000,000 provided to Spark-West. He advised the lenders in the MTN Nigeria Communications Limited US$395,000,000 medium term syndicated facility transaction and a consortium of lenders in the US$205 million medium term financing for United Cement Company of Nigeria Limited. These transactions were awarded the Euromoney 'Deal of the Year' for 2003 and 2006 respectively.

He was part of the team that advised the lenders and the mandated lead arrangers in connection with a $270 million syndicated multi-currency facility to United Cement Company of Nigeria and acted as legal advisers to the Accugas Limited in relation to a US$70 million facility comprising of $60 million term loan facility and $10 million working capital facility, provided by Stanbic IBTC Bank Plc and United Bank for Africa Plc. to finance the development of a Central Gas Processing Facility and the construction of the Uquo-Ikot Abassi gas pipeline and was awarded the Euromoney "Deal of the Year" 2010 for this transaction.

He also advised Septa Energy Nigeria Limited in connection with a US$150 million Reserve-Based Senior Secured Amortising Term Facility for the development of three oil and gas fields in the federal republic of Nigeria, and is currently advising the African Capital Alliance Consortium in connection with its proposed acquisition (estimated value of $750 million) of a controlling stake in Union Bank PLC, one of Nigeria's oldest listed banks.

Mr Ukpanah is head of the firm's banking, project finance and PPP departments, and co-heads the firm's capital markets practice. He has served as the pioneer treasurer of the Capital Markets Solicitors of Nigeria and on the sub committee on banking, finance and insolvency of the Nigerian Bar Association section on business law. He is cited by Who's Who Legal 2009 as a 'tenacious lawyer who achieves excellent results'.

He provides client training and presents papers on security for bank lending, secured credit transactions and legal issues associated with PPPs.
