Biography: Mergers and Acquisitions

Valerie Ong is a partner in Rodyk & Davidson LLP's corporate practice group. She heads the firm's corporate finance practice.

Valerie specialises in corporate finance and mergers & acquisitions. Rodyk's corporate finance practice serves clients in Singapore, China, Indonesia and the region, undertaking listings, delistings, initial public offerings (IPO), equity fund-raising work (such as share placements, rights issues), takeovers, reverse takeovers, and debt capital market work (such as securitised bond issues, convertible note issues). In the past she has undertaken the dual listing of the ASEAN Supreme Fund on the Singapore and Osaka stock exchanges. In 2007, she acted for Yangzijiang Shipbuilding (Holdings) Ltd in a rule 144A offering and listing on the Singapore Exchange, raising S$1 billion, Singapore's largest China company IPO to-date.

Well-versed in M&A, advisory and transaction work, Valerie has seen a broad range of domestic and offshore transactions, management style buy-outs, share and business acquisitions and divestitures, asset injections, corporate rescues, schemes of arrangement, debt restructuring and restructures. Valerie has acted as company secretary of listed companies and regularly deals with the Singapore Exchange and other authorities on listed compliance, corporate governance, licensing and other securities matters.

Outside of practice, she is a member of the Income Tax Board of Review, and serves as an independent director of Sarin Technologies Ltd (the first Israeli company to list on the Singapore Exchange) and Chemical Industries (Far East) Limited.

Valerie graduated with an LLB (Hons) from the National University of Singapore and LLM (Distinction) from the London School of Economics.
