Biography: Corporate Governance

John Latham is a partner in Alston & Bird's securities litigation and corporate transactions and securities groups. He counsels numerous public companies on corporate governance and disclosure matters and represents issuers, officers, directors and accountants in securities disputes.

Mr Latham has served as special counsel to a number of public companies in connection with special investigations and SLC reviews. These engagements have involved a variety of issues ranging from alleged insider trading to financial irregularities and option dating. He has represented clients in a variety of regulatory matters, including proceedings involving the Securities and Exchange Commission, the New York Stock Exchange, the National Association of Securities Dealers, the Commodities Futures Trading Commission, the New York State attorney general and the Justice Department.

Mr Latham has also served as an expert witness in both civil and criminal federal securities actions. In addition, he has been appointed special assistant attorney general to the State of Georgia Teachers and Employees Retirement Fund and the Office of Treasury and Fiscal Services in counselling with regard to securities matters. He is chairman of the Georgia Corporate Code Revision Subcommittee on Officer and Director Liability and Indemnification. Mr Latham received his JD from Emory University and a BA from the University of Toledo.
