A significant part of Mr Jeffries's practice is the representation of companies and investment banking firms in securities and corporate finance transactions. He has completed approximately 75 public offerings, including initial public offerings, follow-on offerings, rule 144A offerings, shelf takedowns, cross-border offerings and mutual-to-stock conversions of savings institutions and insurance companies. Mr Jeffries has also represented over 30 public companies in connection with their ongoing corporate and securities needs.
Mr Jeffries represents both public and private companies in M&A transactions, including advising boards of directors and special committees of independent directors on corporate governance matters, change in control issues and anti-takeover matters.
Mr Jeffries has spoken to many professional organisations and has written numerous articles on securities and M&A topics. The NASDAQ stock market included an article on IPOs by Mr Jeffries in the inaugural issue of its industry magazine, Taking Stock.
Hill Jeffries received his JD degree in 1980 and his BA degree, with high distinction, in 1977, from the University of Virginia. He was a founding director of the business and finance law section of the Atlanta Bar Association. Mr Jeffries serves as a trustee of the Westminster Schools and the Vasser Woolley Foundation, and is co-chair of the annual giving campaign of the First Presbyterian Church of Atlanta.
