Biography: Corporate Tax
Sharp Sorensen, a partner, heads Sidley's tax practice in Chicago. He concentrates in federal tax matters, and focuses principally on domestic and foreign transactions, including mergers and acquisitions, spin-offs, securitisations, joint ventures, foreign and domestic securities offerings, and financial products. Mr Sorensen was the lead outside tax adviser to First Data Corporation in its acquisition of Concord EFS, to Wallace Computer Services in its cross-border acquisition by Moore Corporation Limited and in turn to RR Donnelley in its cross-border acquisition of Moore Wallace, and to Tellabs in its acquisition of Advance Fibre Communications. He has represented numerous corporate and non-corporate clients in both public and non-public transactions using a wide range of structures. Mr Sorensen has significant experience in the taxation of investment units, integrated securities, convertible debt and other securities. He has also advised on the structuring of a variety of securitisation arrangements.
Mr Sorensen graduated from the Northwestern University School of Law in 1985, where he was the managing editor of the Northwestern University Law Review. He graduated with honours from the University of Utah (BS, Accounting) in 1982.
