Biography: Mergers and Acquisitions

Mr Aizenstein has extensive experience in a wide variety of corporate and securities matters, including public and private financings, acquisitions and dispositions, restructurings, joint ventures and partnerships, securities regulations, venture capital transactions, and general corporate and securities counselling.

Mr Aizenstein has represented numerous purchasers, sellers and investors in a variety of acquisition and disposition transactions. Mr Aizenstein has also represented both issuers and underwriters in public and private financings, including initial public offerings and Rule 144A offerings of both equity and debt securities. Mr Aizenstein also has extensive experience in ongoing securities law compliance matters, including compliance with the Sarbanes Oxley Act of 2002, the preparation and review of periodic reports, registration statements, proxy statements and other documents filed with the Securities and Exchange Commission.

His experience includes: representation of Experian Holdings Inc in connection with various public and private mergers and stock and asset acquisitions such as LowerMyBills Inc and Pricegrabber.com, representation of a partnership formed by Roger Stone in connection with the recapitalisation of Box USA Holdings Inc, and representation of Juno Lighting Inc in connection with its leveraged recapitalisation and merger and the related preferred stock and debt financings transactions.
