Biography: Corporate Tax

Before joining Skadden Arps in April 1986, Charles Morgan served for two years as associate chief counsel of the Internal Revenue Service. In that position, Mr Morgan was in charge of the IRS attorneys responsible for the preparation of income tax regulations, revenue rulings and private letter rulings. He was personally involved in formulating recommendations to the US Department of the Treasury on significant tax legislation and policy questions. During the prior two-year period, as special assistant to the IRS commissioner, Mr Morgan advised the commissioner on a wide spectrum of US domestic and international tax issues relating to legislation, treaties, regulations and ruling practice.

Mr Morgan's practice concentrates on advisory work in connection with financial products, the hedge fund and private equity sectors and international matters. He frequently advises clients in connection with the design, operation and tax consequences associated with financial products and transactions; the establishment of hedge fund and private equity fund structures and advisory firm issues; and the tax consequences associated with international transactions and legal structures.

Mr Morgan is the secretary of the NYSBA's tax section, which he will chair in 2009. Before joining the IRS, Mr Morgan was in private practice with PricewaterhouseCoopers, concentrating in international tax.
