Biography: Mergers and Acquisitions
Over the last 29 years Michael D Wortley has built a practice focused on mergers and acquisitions, with a specialty in representing private equity funds. He funds privately and publicly held corporations, partnerships and REITs in connection with stock and asset sales, acquisition and mergers, including leveraged buyouts and acquisitions using publicly traded securities.Mr Wortley regularly advises and counsels boards of directors and executives in connection with sensitive corporate matters and transactions, including takeover defences, employment matters, acquisition inquiries, fiduciary duties, executive compensation, press releases and other documents, and financings and restructurings. As a result of his work on behalf of clients, Mr Wortley has been recognised by Chambers Global as a top lawyer in corporate law and mergers and acquisitions, 2002-2007; by Chambers USA in corporate/mergers and acquisitions, 2003-2007; and by The Best Lawyers in America as a leader in corporate law the last four years.
Mr Wortley is administrative partner of the firm's Dallas, Texas, office, and co-section head of the firm's corporate finance and securities section. Mr Wortley has also been a member of the management committee and other firmwide committees. A leader in his community as well, Mr Wortley currently serves on the board of directors of the Vogel Alcove Childcare Center for the Homeless.
Mr Wortley obtained his BA with highest honours from Southern Methodist University, in 1970; his MA from the University of North Carolina at Chapel Hill in 1973; and his JD from Southern Methodist University in 1978.
