Biography: Mergers and Acquisitions

Robert E Spatt is a partner who focuses on corporate and governance advice and M&A transactions for companies, boards, financial advisors, control stockholders, LBO firms and special committees. Mr Spatt is the co-chairman emeritus of the leading Tulane Corporate Law Institute.

Transactions recently handled have included representing the board of directors of Dow Jones & Company in connection with its sale to News Corp; Invus in its investment in Lexicon Pharmaceuticals; SandRidge Energy in its acquisition of NEG Oil & Gas; McKesson in its acquisition of Per-Se Technologies; Smithfield in its acquisition of Premium Standard Farms; the Special Committee of Lafarge NA in its acquisition by Lafarge SA; Placer Dome in the unsolicited bid by, and sale to, Barrick Gold; Seagate in its acquisition of Maxtor; the special committee of Sotheby's in its buyout of its controlling stockholder; the special committee of Eon Labs in its sale to Novartis; CSL Limited in its acquisition of Aventis' worldwide blood plasma business; HJ Heinz in its spin and merge transaction with Del Monte Foods; and Artal International in its LBOs of Weight Watchers, Keebler and Sunshine.

Mr Spatt also has an extensive practice in representing financial advisers in M&A transactions, including the financial advisers for Celgene in its acquisition of Pharmion; Freeport McMoRan in its acquisition of Phelps Dodge; Conoco Phillips in its acquisition of Burlington Resources; MCI in its acquisition by Verizon; Gillette in its acquisition by P&G; and Nextel in its merger with Sprint.

Mr Spatt graduated from Brown University (AB 1977) and the University of Michigan Law School (JD, magna cum laude, 1980, order of the coif).

He also has an extensive practice representing financial advisers in M&A transactions, including the financial advisers for Conoco Phillips in its pending acquisition of Burlington Resources, for MCI in its acquisition by Verizon, for Gillette in its acquisition by P&G, for Nextel in its merger with Sprint, for Comcast in its acquisition of ATT Broadband and its bid for Disney, and for Compaq in its merger with Hewlett Packard.
