Recently, Bud advised Shell in connection with its corporate restructuring and earlier reserves and financial restatements; Banco Santander SA in its US$100 billion acquisition of ABN AMRO by a consortium of bidders, including Santander; represented Ineos Group Limited, a major UK chemical company, in the financing of its acquisition of the Innovene chemicals business from BP plc; represented Terna, SpA, which operates the Italian electricity grid, in its IPO; represented the banks in the leveraged acquisitions of Amadeus, SA, the airline computer reservations system operator; Seat, SpA, an Italian publisher; Debenhams plc, a UK department store; and MTU, a German engine manufacturer.
Bud is a regular participant on various Practising Law Institute panels, having chaired the programs on Securities Offerings and Swaps and other Derivatives. He is also a member of the Securities Institute Advisory Committee for the PLI Annual Institute on Securities Regulation in Europe.
Bud was born in Bronxville, New York. He received a BA from Union College in 1972, and a JD from Case Western Reserve School of Law in 1978. Bud joined Cravath in 1979 and became a partner in 1985. From 1998-2001, he served as the firm's managing partner-corporate, and from 2001 to 2007, headed the firm's London office.
