Biography: Corporate Governance

Bill Orr is a partner at Fasken Martineau DuMoulin LLP in Montreal and Toronto where he focuses his practice on corporate governance. He has acted for many boards and independent committees of boards of directors. Internationally recognised as a leading practitioner in his field, he also specialises in securities regulation and routinely advises on multi national transactions in Canada, the United States, the United Kingdom and other countries. He is an acknowledged expert in public and private financing, private placements, takeover bids, mergers and acquisitions, going-private transactions, corporate governance, restructurings and stock exchange and securities enforcement issues. His clients range from public corporations, including corporations whose securities are listed on Canadian, US and other international stock exchanges, to financial institutions (including banks and insurance companies), domestic and foreign investment dealers, mutual funds and investment companies, as well as limited partnerships.

A past member of the Securities Advisory Committee and the Continuous Disclosure Advisory Committee, Bill is currently part of the Senior Securities Legal Advisory Group to the Ontario Securities Commission. He is a speaker and panellist at numerous professional seminars and conferences and has written extensively on securities regulation. Bill is co-author of Private Placements in Canada. In addition, he has taught at Queen's University, Osgoode Hall Law School, McGill University and the University of Toronto. He is consistently named one of the country's top lawyers in corporate commercial, corporate finance and M&A in the annual Guide to the Leading 500 Lawyers in Canada published by Lexpert/American Lawyer Media.

Bill has served on a number of community and charitable boards of directors. He has been chair of the board of Trinity College, the Family Service Association of Toronto and the Dellcrest Childrens' Centre and has served on the board of the College of Electors of the University of Toronto and the Duke of Edinburgh's Award Young Canadians Challenge. He is presently on the board of directors of the Institute of Corporate Directors.
