Biography: Capital Markets

Joseph McLaughlin is a partner in Sidley's New York office. He joined the firm in 1992. His practice areas include: public and private US and international securities offerings; US disclosure obligations of public companies; US broker-dealer regulation, including SEC and SRO rules relating to electronic communication, research, financial responsibility, securities credit, short sales, manipulation, misuse of non-public information, compliance and supervisory obligations, and activities of offshore broker-dealers.

He has been a speaker at, and contributor of written materials to, programmes sponsored by Practising Law Institute, the University of Zurich, the Federalist Society, Glasser LegalWorks, American Law Institute-American Bar Association legal education (ALI-ABA), the Securities Industry Association, the Bond Market Association and the University of California at San Diego (Securities Regulation Institute). He is the co-author (with Charles J Johnson) of Corporate Finance and the Securities Laws (4d ed 2006, supplemented 2010) (Aspen Law & Business).

While at Columbia Law School, Mr McLaughlin received the Robert Noxon Toppan Prize in Constitutional Law. From 1988 to 1992 he was an adjunct professor of Law at New York University School of Law.

Mr McLaughlin's memberships and affiliations include: member, board of directors, American Council on Germany; member, American Bar Association, section of business law, federal regulation of securities committee, subcommittees on broker-dealer matters, civil litigation and SEC enforcement matters, committee on law and accounting; member, American Law Institute; co-chair, task force on sellers' due diligence and similar defenses under the federal securities laws, 1989-92 (report published in 48 The Business Lawyer, p1185 [1993]); chair, task force on rule 10b-6, 1995-97; former chair, task force on manipulation; member, New York Stock Exchange legal advisory committee to the board of governors, 1985-88, subcommittee on market structure; director, American Arbitration Association, 1986-90; member (1978-88) and chair (1982-84), Securities Industry Association, federal regulation committee.

Mr McLaughlin received his LLB from Columbia Law School in 1965 and his AB from Columbia College in 1962. He is admitted in New York.
