He has been involved in numerous corporate transactions, including the sale of West Corporation in a leveraged buyout led by private equity firms, the sale of Maverick Tube Corporation to Tenaris SA; RR Donnelley & Sons Company's merger with Moore Wallace Incorporated; First Data Corporation's spin-off of Western Union; First Data's acquisitions of Concord EFS; and First Financial Management Corporation; Stone Container Corporation's merger of equals with Jefferson Smurfit Corporation, Aon Corporation's acquisition of Alexander & Alexander and sale of two insurance subsidiaries (the Life Insurance Company of Virginia and Union Fidelity Life Insurance Company) to GECC and Sara Lee Corporation's sale of its direct selling business. He has also been involved in contested takeover work, having represented AT&T in its takeover of NCR Corporation and the defence of Wallace Computer Services, Inc against the hostile tender offer and related proxy contest of Moore Corporation (and the later acquisition of Wallace Computer by Moore). He also has significant experience representing special committees in connection with business combinations.
Mr Lowinger clerked for Justice William J Brennan Jr of the US Supreme Court (1981-82) and Judge J Skelly Wright of the US Court of Appeals for the DC Circuit (1980-81). He is a cum laude graduate of the University of Chicago Law School, where he was editor-in-chief of the Law Review.
