He is the former general counsel to the Ontario Securities Commission, the past chair of the Commission's securities advisory committee and a member of the Commission's senior securities lawyers advisory group and enforcement advisory group.
Jonathan is engaged frequently as special counsel in mergers and acquisitions by Canadian clients and multinationals, including ATI Technologies, Newmont Mining Corporation, 3M Company, Four Seasons Hotels, Pechiney SA, Compagnie Générale de Géophysique, Hub International and various investment funds and private equity investors, including Teachers', Madison Dearborn and Providence Equity Partners. He regularly provides advice to various constituents regarding governance of public entities in the context of mergers and acquisitions, dissident shareholder activities and strategic initiatives. He has provided expert evidence in related court proceedings and has represented the staff of the Ontario Securities Commission and market participants in regulatory proceedings before the Commission, including its review of market timing in the mutual fund industry.
Jonathan's transactional and advisory expertise, in Canada and internationally, is recognised regularly in publications including Chambers Global, Euromoney, PLC Which Lawyer?, Law Business Research publications, The Canadian Legal Lexpert Directory, Lexpert/American Lawyer Media Guide to the Leading 500 Lawyers in Canada and The Best Lawyers in Canada.
In addition to lecturing and writing extensively on topics including emerging issues in corporate governance, and alternative acquisition and financing structures. Jonathan has taught Advanced Corporate Law and Securities Regulation at the University of Toronto Law School.
