Biography: Mergers and Acquisitions

Richard D Katcher is a partner at Wachtell, Lipton, Rosen & Katz and was chairman of the firm's management committee from 1997 to 2003. He concentrates on mergers and acquisitions and corporate and securities law and governance.

Mr Katcher has participated in numerous mergers and acquisitions and related matters, representing both acquirers and targets, as well as investment bankers. Transactions include Maytag's sale to Whirlpool; the Sports Authority's sale to Leonard Green; the Engelhard/BASF transaction; NCR's spinoff of Teradata; the acquisition by Service Corporation of Alderwoods; the breakup of AT&T Corporation, including the AT&T Broadband/Comcast transaction; Warner-Lambert Company's merger with Pfizer; Monsanto Company's merger with Pharmacia Corporation; AT&T Corp's acquisitions of MediaOne Group and Tele-Communications; the sale of AT&T to SBC; American Stores Company's sale to Albertson's; Lilly Industries sale to the Valspar Corporation, Browning-Ferris Industries sale to Allied Waste Industries; AT&T Corp's acquisition of McCaw Cellular Communications; AT&T Corp's disposition of Lucent Technologies and NCR Corporation; Monsanto Company's disposition of Solutia and Hussmann International's sale to Ingersoll-Rand Company. Cross-border transactions include the sale of Pet Incorporated to Grand Metropolitan and the sale of a greater than majority interest in Genentech to Hoffman-La Roche. He has also represented clients in joint ventures and recapitalisations and has counselled boards and non-management directors on governance issues and investigations and on other crisis situations.

Mr Katcher is a graduate of New York University School of Law (LLB 1966), where he was a member of the Law Review, a member of the Order of the Coif and a John Norton Pomeroy scholar. He is a member of the board of trustees of New York University. He is also a graduate of Lafayette College (BA 1963). Mr Katcher is past chairman of the special committee on mergers, acquisitions and corporate control contests of the Association of the Bar of the City of New York, member of the securities regulation committee of the New York State Bar Association and the Association of the Bar of the City of New York, and is a frequent lecturer on continuing legal education programmes. He became a partner at Wachtell Lipton in 1971.

Richard D Katcher has been a partner in the corporate department at Wachtell, Lipton, Rosen & Katz since 1971, where his practice has focused on mergers, acquisitions, securities law and corporate governance. Mr Katcher has represented prominent corporate entities from, among others, the communications, pharmaceutical, consumer products, retail and investment banking fields in numerous M&A transactions, joint ventures and recapitalisations. He has counselled boards and non-management directors during crisis conditions as well as with respect to numerous corporate governance matters. His work includes domestic as well as cross-border matters.

Mr Katcher is a frequent lecturer for continuing education programmes and an active member of the Association of the Bar of the City of New York, where he served as chairman of the special committee on mergers, acquisitions and corporate control contests.

Mr Katcher is a graduate of New York University School of Law (LLB, 1966), where he was a John Norton Pomeroy scholar and a member of the Law Review and the Order of the Coif.
