Mr Katcher has participated in numerous mergers and acquisitions and related matters, representing both acquirers and targets, as well as investment bankers. Transactions include Maytag's sale to Whirlpool; the Sports Authority's sale to Leonard Green; the Engelhard/BASF transaction; NCR's spinoff of Teradata; the acquisition by Service Corporation of Alderwoods; the breakup of AT&T Corporation, including the AT&T Broadband/Comcast transaction; Warner-Lambert Company's merger with Pfizer; Monsanto Company's merger with Pharmacia Corporation; AT&T Corp's acquisitions of MediaOne Group and Tele-Communications; the sale of AT&T to SBC; American Stores Company's sale to Albertson's; Lilly Industries sale to the Valspar Corporation, Browning-Ferris Industries sale to Allied Waste Industries; AT&T Corp's acquisition of McCaw Cellular Communications; AT&T Corp's disposition of Lucent Technologies and NCR Corporation; Monsanto Company's disposition of Solutia and Hussmann International's sale to Ingersoll-Rand Company. Cross-border transactions include the sale of Pet Incorporated to Grand Metropolitan and the sale of a greater than majority interest in Genentech to Hoffman-La Roche. He has also represented clients in joint ventures and recapitalisations and has counselled boards and non-management directors on governance issues and investigations and on other crisis situations.
Mr Katcher is a graduate of New York University School of Law (LLB 1966), where he was a member of the Law Review, a member of the Order of the Coif and a John Norton Pomeroy scholar. He is a member of the board of trustees of New York University. He is also a graduate of Lafayette College (BA 1963). Mr Katcher is past chairman of the special committee on mergers, acquisitions and corporate control contests of the Association of the Bar of the City of New York, member of the securities regulation committee of the New York State Bar Association and the Association of the Bar of the City of New York, and is a frequent lecturer on continuing legal education programmes. He became a partner at Wachtell Lipton in 1971.
