Mr Herlihy for many years has been and currently is extensively involved in the largest and most complex bank mergers, acquisitions and recapitalisations throughout the United States. Mr Herlihy and Wachtell, Lipton, Rosen & Katz are frequently called upon to represent financial institutions in sensitive situations. Mr Herlihy represented Donaldson, Lufkin & Jenrette in its acquisition by Credit Suisse Group; American International Group Inc in its acquisition of American General Corporation; Firstar Corporation in its merger with US Bancorp; Old Kent Financial Corporation in its merger with Fifth Third Bancorp; NationsBank Corporation in its acquisition of Barnett Banks Inc, a US$15.5 billion merger transaction, the largest banking transaction in history. Mr Herlihy was instrumental in structuring numerous acquisitions of investment banking firms by commercial banking companies:
Bankers Trust Corporation/Deutsche Banc Alex. Brown,
BankAmerica Corporation/Robertson Stephens Inc,
Quick & Reilly/Fleet Securites Inc and National Westminster Bank Plc in its acquisition of two US securities firms.
Mr Herlihy is often called upon to represent companies involved in takeover battles, and represented Compass Bancshares Inc and Commercial Federal Corporation in recent proxy contests. Mr Herlihy also represents major investment banking firms in connection with a wide variety of financial institution matters. He writes regularly on issues involving banking and financial matters and is a lecturer on such subjects. Mr Herlihy is a graduate of Hobart College and The George Washington University Law School.
