Biography: Corporate Governance

Amy Goodman is co-chair of Gibson Dunn's securities regulation and corporate governance practice group.

Ms Goodman served as associate director and chief of the office of disclosure policy in the SEC division of corporation finance, as legal assistant and special counsel to chairman Harold Williams and as a staff attorney in the division of investment management during her 11-year tenure at the SEC. In 1985, she received the SEC's Distinguished Service Award, and, in 1986, she received the Presidential Meritorious Executive Award.

She advises clients with respect to securities law disclosure and regulatory issues and corporate governance matters, including the representation of independent board committees. Clients include Hewlett-Packard Company, Abercrombie & Fitch Company, and Business Roundtable.

Ms Goodman is former chair of the committee on director and officer liability of the American Bar Association's business law section and former chair of the shareholder and investor relations subcommittee of the section's corporate governance committee. She is president of the board of directors of The Association of SEC Alumni, Inc. She is also a member of the federal regulation of the securities committee of the ABA business law section and the securities law committee of the Society of Corporate Secretaries and Governance Professionals.

She is the founding and continuing editor in chief of INSIGHTS: The Corporate & Securities Law Advisor, a well-respected corporate and securities law periodical published by Aspen, co-editor of A Practical Guide to SEC Proxy and Compensation Rules, published by Wolters Kluwer, and co-editor of Corporate Governance: Law and Practice, published by LexisNexis. She is a frequent speaker at legal and business conferences.
