Scott Davis is the head of Mayer Brown's US mergers and acquisitions group. His practice focuses on mergers and acquisitions, corporate governance, securities and the problems that arise when there is a real or perceived conflict of interest between a company's officers or directors and its shareholders.
His recent engagements include representing CBOT Holdings in its merger with Chicago Mercantile Exchange Holdings (equity value US$12 billion at closing) and Chemtura in its merger with Great Lakes Chemical (equity value US$1.5 billion at announcement). Mr Davis also represented Devon Energy in a series of transactions, including its merger with Ocean Energy (equity value US$3.5 billion at announcement), its acquisition of Mitchell Energy & Development (equity value of US$3.1 billion at announcement) and its US$3.5 billion acquisition of Anderson Exploration.
Mr Davis represented George Weston in its US$1.765 billion acquisition of Bestfoods Baking. He also represented Dow Chemical in the merger in which Union Carbide became Dow's subsidiary (equity value US$9.3 billion at announcement).
Mr Davis has been recognised by Chambers Global as among the world's Leading Lawyers for Business and by Chambers USA as among America's Leading Lawyers for Business. He was named a BTI Client Service All-Star in 2006. Mr Davis was selected as one of Chicago's 10 Leading M&A Lawyers by Chicago Lawyer in January, 2005. He has been recognised in PLC Cross-Border Mergers and Acquisitions Handbook (2007-08 edition). He has also been recognised in Best Lawyers in America (2008 edition).
Mr Davis teaches corporation law at the University of Chicago Law School and is Vice President of the Chicago Police Board. He is a Harvard Law School graduate, JD, 1976, where he was a member of the board of editors of the Harvard Law Review. He holds a BA from Yale University, 1972.
