Biography: Mergers and Acquisitions

Charles "Casey" Cogut is global head of the mergers & acquisitions practice group at Simpson Thacher & Bartlett LLP. He specialises in domestic, international and cross-border mergers and acquisitions, and transactions involving private equity firms. Over his career he often has been involved in coordinating teams of professionals in complex multi-jurisdictional acquisitions. In addition, he regularly advises boards of directors with respect to corporate governance matters and the responsibilities of directors. Mr Cogut joined the firm in 1973 and has been a partner at Simpson Thacher since 1980. From 1990 to 1993, he served as senior resident partner in the firm's London office.

Mr Cogut oversees the firm's relationships with adidas AG, ARAMARK, BD, Microsoft, Toll Brothers and Wyeth. For more than 20 years Mr Cogut has supervised and participated in Simpson Thacher's representation of Kohlberg Kravis Roberts & Co and many of its portfolio companies. In addition, he regularly represents other private equity firms such as JC Flowers & Co, JLL Partners and Silver Lake Partners.

Mr Cogut received his JD in 1973 from the University of Pennsylvania Law School after graduating, summa cum laude, from Lehigh University in 1969. He is a member of the board of overseers of the University of Pennsylvania Law School and co-chair of the board of advisers of the university's Institute for Law and Economics.

In addition, throughout his career, he has advised boards of directors with respect to corporate governance matters and the responsibilities of directors.

For more than 20 years, Mr Cogut has supervised and participated in the firm's representation of Kohlberg Kravis Roberts & Co. and many of its portfolio companies. In addition, he has represented adidas AG, ARAMARK, BD, JC Flowers & Co, JLL Partners, Nets Sports and Entertainment LLC, Shinsei Bank, Silver Lake Partners and Wyeth.

Mr Cogut joined the firm in 1973 and has been a partner at Simpson Thacher & Bartlett since 1980. From 1990 to 1993, he served as senior resident partner in the firm's London office. He is a member of the board of overseers of the University of Pennsylvania Law School and the board of advisers of the University's Institute for Law and Economics, and he is a trustee of Saint Ann's School in Brooklyn, New York.

Mr Cogut received his JD in 1973 from the University of Pennsylvania Law School after graduating summa cum laude from Lehigh University in 1969. He is an active member of the Association of the Bar of the City of New York and the International Bar Association, and is a frequent speaker at seminars dealing with contests for corporate control and leveraged buy-outs.
