Biography: Mergers and Acquisitions

Mr Capelouto advises clients in mergers and acquisitions and securities law matters, including leveraged buyouts, joint ventures, public company acquisitions and restructurings.

Mr Capelouto has advised Electronic Arts in its offer for Take-Two Interactive; Google in its acquisition of YouTube; VERITAS Software in its merger with Symantec; Agilent Technologies in the sale of its Semiconductor Products Group; Intellisync in its sale to Nokia; CB Richard Ellis Services in its acquisitions of Trammell Crow and Insignia Financial Group; Clorox in its Glad Products joint venture with Procter & Gamble; Maxim Integrated Products in its acquisition of Dallas Semiconductor; Accenture in its joint venture with Microsoft; and NBC and CNBC in their joint venture with Dow Jones. Private equity representations include Silver Lake Partners in its acquisitions of Seagate Technology, Serena Software and Network General, its investment in Flextronics, and its sale of Crystal Decisions to Business Objects; Hellman & Friedman and TPG in their acquisition of Intergraph Software; Hellman & Friedman in the acquisition of ProSiebenSat.1 Media AG, its acquisitions of Vertafore Software, Activant Solutions, Goodman Global, Catalina Marketing and Getty Images, and its investments in NASDAQ and Axel Springer AG; Elevation Partners in its acquisitions and sale of Pandemic Studios and BioWare Studios, and its investments in Forbes and Palm; and Blum Capital Partners in its acquisition of CB Richard Ellis Services.

Mr Capelouto joined Simpson Thacher in 1986 and was elected partner in 1994. He received his BA, summa cum laude, from Rutgers University in 1983, and his JD, cum laude, from Harvard Law School in 1986.
