Biography: Corporate Governance

Andrew R Brownstein has been a partner at Wachtell, Lipton, Rosen & Katz since 1985 and serves as co-chair of the firm's corporate group. His practice concentrates on mergers and acquisitions and corporate governance matters, and he has been engaged in many high-profile matters that include cross-border transactions, leveraged buyouts, complex restructuring deals, proxy fights and takeovers.

Mr Brownstein has been a leading participant in numerous precedent setting transactions including: the takeover defences of Household International, Phillips Petroleum Company and Revlon, Inc. He has advised Genzyme in its acquisition by Sanofi-Aventis, Phillips Petroleum Company in its merger with Conoco, Inc and ConocoPhillips with respect to its investment in OAO Lukoil, its acquisition of Burlington Resources and its joint ventures with Encana. He represented Schering Plough in its merger with Merck, Novartis in transactions involving Alcon, Chiron and Eon Labs, Walgreens in its acquisitions of Optioncare and DuaneReade, SuperValu in its acquisition of Albertson's, Sears in its merger with Kmart, Amoco Corporation in its merger with British Petroleum Company and Reynolds Metals Company in its merger with Alcoa Inc. Mr Brownstein is also active in the technology area having represented, among others, BEA in its sale to Oracle Corporation. Mr Brownstein also represents several leading private equity investors, including Apollo Advisors LP, Merrill Lynch and Warburg, Pincus & Co.

Mr Brownstein is a 1979 graduate of Harvard Law School, where he was an articles editor of the Harvard Law Review. He holds an MBA degree (1976) from the Wharton School of the University of Pennsylvania and also has undergraduate degrees, summa cum laude, in English and Economics (1975) from the University of Pennsylvania, where he was elected to Phi Beta Kappa. Following law school, Mr Brownstein clerked for the Hon Leonard I Garth of the US Court of Appeals for the Third Circuit.

Mr Brownstein is a frequent author and lecturer on corporate-related topics. He has been an adjunct professor of securities law at Rutgers University Law School, serves on the executive planning committee and is past chairman of the Ray Garrett Jr Corporate and Securities Law Institute at Northwestern University School of Law.

Mr Brownstein lives in New York City with his wife and two children. He is active in numerous civic and charitable organisations and is a member and past president of the board of trustees of the Trinity School in New York City, a member of the board of overseers of the Annenberg Center for Performing Arts in Philadelphia and a member of the board of directors of the New York City Public Art Fund and of the F-E-G-S Health and Human Services System.

Mr Brownstein is a graduate of the University of Pennsylvania (BS, BA, 1975) and the Wharton School of Finance (MBA, 1976). He earned a JD degree in 1979 from Harvard Law School, where he was an articles editor of the Harvard Law Review. Prior to joining the firm in 1980, Mr Brownstein was law clerk to the honorable Leonard I Garth, United States Court of Appeals for the Third Circuit.

Mr Brownstein has taught securities law as an adjunct professor at Rutgers University School of Law and is a frequent contributor to legal journals on corporate-related topics. He is on the executive planning committee, and is past chairman, of the Annual Ray Garrett Jr Corporate and Securities Law Institute at Northwestern University School of Law.
