Biography: Mergers and Acquisitions

Andrew R Brownstein has been a partner at Wachtell, Lipton, Rosen & Katz since 1985. His practice concentrates on mergers and acquisitions, takeovers, leveraged buyouts, corporate governance and securities law matters. He is responsible for the day-to-day management of the firm's corporate group.

Mr Brownstein has been a leading participant in numerous precedent-setting transactions including the takeover defence of Household International, and of Revlon. Mr Brownstein advised long-time client Phillips Petroleum in its merger with Conoco; advised ConocoPhillips with respect to its investment in the Russian oil company OAO Lukoil; its US$35 billion acquisition of Burlington Resources; and its joint ventures with Encana. Other notable transactions include his representation of Schering Plough in its acquisition of Organon; Novartis in its acquisitions of Chiron and Eon; SuperValu in its acquisition of Alberson's; Sears in the sale of its credit business to Citigroup and in its merger with Kmart; Amoco in its merger with British Petroleum Corporation; and Reynolds in its merger with Alcoa. Mr Brownstein is also active in the technology area, having represented, among others, BEA in its merger with Oracle, and HotJobs.com in its merger with Yahoo!. Mr Brownstein also represents several leading private equity investors, including Apollo Advisors, Merrill Lynch and Warburg, Pincus & Co.

Mr Brownstein is a 1979 graduate of Harvard Law School, where he was an articles editor of the Harvard Law Review. He holds an MBA degree (1976) from the Wharton School of the University of Pennsylvania, and also has undergraduate degrees in English and Economics (1975) from the University of Pennsylvania. Following law school, Mr Brownstein clerked for the Honourable Leonard I Garth of the US Court of Appeals for the Third Circuit. Mr Brownstein is a frequent author and lecturer on legal subjects. He has been an adjunct professor of Securities Law at Rutgers University Law School; he was the chairman of the Ray Garrett Jr Corporate and Securities Law institute at Northwestern University School of Law in 1998 and 1999; and he continues to serve on the executive planning committee of that institute. For many years Mr Brownstein has been co-chairman of the Annual M&A Lawyers Institute held in New York City.

Mr Brownstein lives in New York City with his wife and two children. He is active in numerous civic and charitable organisations and is president of the board of trustees of the Trinity School in New York City and a member of the board of directors of the New York City Public Art Fund. Mr Brownstein enjoys bicycling, skiing and collecting contemporary art.

He advised Phillips Petroleum Company in its merger with Conoco Inc; and ConocoPhillips with respect to its investment in OAO Lukoil, its acquisition of Burlington Resources and its joint ventures with Encana. He represented SuperValu in its acquisition of Albertson's, Sears in its merger with Kmart, Amoco Corporation in its merger with British Petroleum Company plc and Reynolds Metals Company in its merger with Alcoa Inc. He is also active in the technology area having represented, among others, Reynolds and Reynolds in its merger with UCS, Packard BioScience Company in its merger with PerkinElmer, Inc and HotJobs.com Ltd in its merger with Yahoo!. Mr Brownstein also represents several leading private equity investors, including Apollo Advisors LP, Merrill Lynch and Warburg, Pincus & Co Inc.
